In plain English: You own your content. We don't train on it. The AI models you choose — GPT, Claude, Gemini, and others — are large language models (LLMs). An LLM works by statistically predicting what text should come next, based on patterns learned from massive datasets. Roughly every 4 characters is a "token," and the model's job is to predict the next token, then the next, then the next — assembling words, sentences, and paragraphs one prediction at a time. This means LLMs can be remarkably useful, but they also make mistakes. They hallucinate — generating confident-sounding text that is factually wrong. They are not a substitute for human reasoning, especially when decisions impact the physical world. Do not rely on AI outputs for legal, medical, financial, or other professional advice without independent verification.

1. Acceptance of Terms

By accessing or using KontextAI ("Service"), operated by KontextAI.ai, LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service. We may update these Terms from time to time as described in Section 16 (Modifications) below.

2. Description of Service

KontextAI is a personal AI agent platform that allows you to upload documents, books, transcripts, and other files to create AI-powered knowledge agents. The Service also supports importing conversation history and memory data from other AI platforms — including ChatGPT exports and other JSON-formatted exports — to help you bring your existing knowledge into KontextAI. You can also export your data from KontextAI at any time — your content, your memories, your conversation history — in standard, portable formats. These agents retrieve and synthesize information from your uploaded content using retrieval-augmented generation (RAG) technology. The Service supports multiple AI model providers through a "Bring Your Own Key" (BYOK) integration, allowing you to use your own API credentials with providers such as OpenAI, Anthropic, Google, and others.

Definitions: "User Content" means any files, documents, text, or other materials you upload to the Service. "AI Output" means any text, summaries, answers, or other content generated by AI models through the Service in response to your queries. "Knowledge Agent" means an AI agent you create from your User Content. "BYOK Key" means a third-party API key you provide to access external AI model providers through the Service.

3. Personal Use

These Terms cover personal use of the Service only. Additional terms for other features will be published as separate agreements when those features become available. Your use of the Service is for your own personal, non-commercial purposes unless otherwise agreed in writing.

4. Eligibility and User Accounts

You must be at least 13 years of age to use the Service. If you are under 18, you must have permission from a parent or legal guardian. You are responsible for maintaining the confidentiality of your account credentials, including your password and any BYOK Keys, and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Your Content and Intellectual Property

In plain English: You own what you upload and what the AI generates for you. We only use your content to provide the Service to you.

Your Content: You retain all rights to User Content you upload to KontextAI. By uploading content, you grant us a limited, non-exclusive license to process, store, index, and retrieve your content solely to provide the Service to you. We do not use your content to train AI models. We do not sell, share, or distribute your content to third parties except as necessary to provide the Service.

AI Outputs: You own the AI Outputs generated through your use of the Service. However, AI Outputs are generated by third-party AI models and may not be eligible for copyright protection under current law. You are solely responsible for reviewing, verifying, and using AI Outputs appropriately.

Responsibility for Uploaded Content: You represent that you have the right to upload all User Content and that your content does not infringe on the intellectual property rights of any third party.

6. Acceptable Use

You agree not to use the Service to:

Upload content that infringes on the intellectual property rights of others
Generate illegal, harmful, abusive, or deceptive content
Create deepfakes, impersonate individuals, or generate misleading media
Upload, store, or generate child sexual abuse material (CSAM) or any content that sexually exploits minors
Upload or generate non-consensual intimate imagery, including AI-generated sexual depictions of real individuals without their consent
Attempt to extract, reverse-engineer, or circumvent security measures
Use AI Outputs as a substitute for professional legal, medical, financial, or other expert advice
Violate any applicable local, state, national, or international law

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use requirements.

7. Bring Your Own Key (BYOK)

In plain English: When you use your own API key, we just pass your request through. The AI provider bills you directly, and their own terms apply to how they handle your data.

7.1 Key Handling: When you provide a third-party API key ("BYOK Key"), KontextAI transmits your requests to the applicable third-party provider on your behalf using your credential. We encrypt BYOK Keys at rest and do not log or persist key values beyond active use. You are solely responsible for the security, rotation, and revocation of your BYOK Keys.

7.2 Third-Party Charges: All API usage costs incurred through your BYOK Key are billed directly by the third-party provider (e.g., OpenAI, Anthropic, Google) to the account associated with that key. KontextAI is not responsible for any charges, overages, rate-limit errors, or billing disputes arising from your use of a BYOK Key through the Service.

7.3 Data Flow: When using BYOK, your prompts, uploaded file content, and conversation context may be transmitted to the third-party AI provider's API. That transmission is subject to the applicable provider's Terms of Service and Privacy Policy. KontextAI does not control how third-party providers process, retain, or use data transmitted through their APIs.

7.4 Pass-Through Role: With respect to BYOK integrations, KontextAI acts solely as a technical pass-through that facilitates transmission of your requests to third-party AI providers. KontextAI makes no representations about the output quality, uptime, accuracy, or compliance of third-party AI services accessed via BYOK.

8. AI Output Disclaimer

AI Outputs generated through the Service may be inaccurate, incomplete, outdated, or biased. AI Outputs are provided for informational purposes only and do not constitute professional legal, medical, financial, tax, or other expert advice. You are solely responsible for evaluating and verifying AI Outputs before relying on them for any purpose. Do not present AI Outputs as human-generated work without appropriate disclosure.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free access to the Service. We may perform scheduled maintenance, apply updates, or experience outages. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will make commercially reasonable efforts to notify you of planned downtime in advance.

10. Billing and Subscriptions

Subscription Plans. KontextAI offers Free, Core ($12/mo), Pro ($17/mo), Expert ($27/mo), and Max ($167/mo) subscription tiers. Paid tiers are billed monthly in advance via Stripe.

Auto-Renewal. Paid subscriptions renew automatically at the end of each billing cycle. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. You will be notified by email before your first paid charge.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You retain full access through the end of the period you paid for.

Refunds. Except where required by law, subscription fees are non-refundable. We do not offer prorated refunds for partial billing periods. If you believe a charge was made in error, contact [email protected] within 30 days.

Failed Payments. If a payment fails, we will retry the charge up to three times over seven days. If payment is not collected, your account will be downgraded to the Free tier. You will be notified before and after downgrade.

Price Changes. We will provide at least 30 days' advance notice of any price changes via email to your registered address. Continued use after the effective date constitutes acceptance of the new pricing.

Payment Processing. Payments are processed by Stripe. By subscribing, you agree to Stripe's Terms of Service at stripe.com/legal.

11. Limitation of Liability

To the maximum extent permitted by applicable law, KontextAI.ai, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for all claims arising from or related to these Terms shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim or (b) one hundred US dollars ($100).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify, defend, and hold harmless KontextAI.ai, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

13. Copyright and DMCA Policy

We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, please send a notice to our designated agent at [email protected] containing: (a) a description of the copyrighted work, (b) the location of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Counter-Notice: If your material is removed and you believe the removal was in error, you may submit a counter-notice to our designated agent containing: (i) your physical or electronic signature; (ii) identification of the removed material and its prior location; (iii) a statement under penalty of perjury that the material was removed by mistake or misidentification; and (iv) your name, address, and consent to the jurisdiction of the federal district court for your address. Upon receipt of a valid counter-notice, we will provide a copy to the original complainant. If the complainant does not file a court action within 10 business days, we will restore the removed material.

Repeat Infringer Policy: In accordance with 17 U.S.C. § 512(i), KontextAI terminates the accounts of users who are determined, in our reasonable judgment, to be repeat infringers of copyright.

14. Termination and Data Export

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Upon termination, you will have thirty (30) days to export your User Content. After this period, we will delete your User Content from our active systems. We may terminate or suspend your access to the Service immediately, without prior notice, if we believe you have violated these Terms.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Wyoming or remotely, at your election. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Exception: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Modifications to These Terms

We may modify these Terms from time to time. We will provide at least thirty (30) days' advance notice of material changes by email to the address associated with your account or by posting a notice on the Service. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Service.
